If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$40 → $74

Show the math

today's enterprise value per satellite, held, on the roughly 45 satellites management has dated for the turn of 2026, with the constellation growing by 38-72 satellites a year from 2027: the 2026 target's own pace at the low end, the six a month management once planned at the high end. AST guides no margin and no revenue past 2026 with a date on it, so the satellite count is the only thing that moves the value. Company value less net debt, divided by a share count that grows at the first half of 2026's pace. Each figure management gave as a range is taken at its middle.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. The unit. Satellites in orbit. The decks dated 45-60 by end-2026 from Q2 '25 to Q4 '25, cut it to about 45 during 2026 in Q1 '26 and moved that to early 2027 in Q2 '26. About 45 is taken as the count at the end of the base year, two months ahead of the latest date. Enterprise value today ($40 times 389.2M Class A, B and C shares, plus debt, less cash) over those 45 is held.
  2. The build. 38 a year at the low end: the 2026 target itself, about 45 in orbit from 7 at the end of 2025. 72 a year at the high end: the Q1 '25 deck's six satellites a month, which the CEO repeated as the plan on the Q2 '25 call. AST finished two Block 2 satellites in 2025 against that target. The funded plan is "over 100" satellites with no date; the high end passes 100 in 2027.
  3. What is missing. No margin, no price per subscriber and no revenue per satellite in any deck. Revenue is guided at $150-200M for 2026, and the President's goal of approaching $1B in 2027 became, on the Q2 '26 call, the goal for "our first year of commercial service" with no year. Holding value per satellite assumes each new one is worth what the market pays for one today.
  4. The shares. The count grows as it did in the half to 30 Jun '26, +3.8%, which included 4.8M warrant shares and 6.3M from settling 2032 converts in stock. The half before added 34.9M Class A. Convertible notes, including the $1.15B issued in July 2026 (an effective $149.20 with its capped call), options and unvested awards are not in today's count of 389.2M.
  5. Arithmetic. (company value − net debt) ÷ shares. Net debt today is $684M, held where it is although AST spends cash on capex every quarter; spending it would lower every figure here.

Shareholder votes against the board and pay, plus which executives have been selling their own shares.

  1. Tier 1 · worsening

Financing faster and larger than signalled, and a class action says so

$1.0B+ of 2036 converts in Oct '25, $1.0B+ more in Feb '26, $1.15B of 2034 converts in Jul '26, and an $800M share-sale programme used up by Mar '26. Class A shares +11.4% in a year. Hunter v. AST SpaceMobile (W.D. Tex.) alleges the company hid how often and how much it would raise; the stock fell 17% the day after the last convert.

  2. Tier 2 · stable

71.6% of the votes on about 20% of the shares; no independent majority

Avellan holds all the ten-vote Class C shares, nominates seven seats and chairs the board until he retires or sells most of his stake. Five of ten directors are independent. The CFO is also chief legal officer and an Avellan-nominated director.

  3. Tier 2 · worsening

The founder hedged 5.0M shares for about $199M

Two prepaid forwards on 2.5M shares each (Nov '24, rolled Nov '25; Jun '26), floors $56.06 and $59.58. The second came 23 days before the $1.0B convert that took the stock below both. No approval under the hedging policy is disclosed.

  4. Tier 2 · worsening

    Pay goals changed mid-course; a new 2x change-of-control payout

The 2024 performance awards lost their cash-flow goal in May '25 and paid 150%. In Sep '26 the board adopted severance of 2.0x salary and bonus for the CEO, who also controls whether a sale happens. Say-on-pay against rose to 18.7% of non-founder votes.

  5. Tier 3 · stable

Officers sold $28.8M; strategic holders $431M

Six officers and directors sold $28.8M in a year, $12.7M under a plan. American Tower sold $159.6M and Rakuten $270.9M. Two directors bought $0.8M.

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.

20252026Share 2026
Avellan (chair, CEO)A board seat. Shareholders vote to keep this person on the board, the group that hires, pays and can fire the CEO. A no, or a withheld vote, says they want this director out, often because of the committee they sit on or a decision they signed off.7.0M10.0M10.6%
Johnson (CFO, legal chief)A board seat.9.6M13.1M13.9%
Sarnoff (director)A board seat.12.1M20.3M21.5%
Say on payExecutive pay. Shareholders say whether they accept what the top executives were paid. The vote is advisory: the board can ignore it, but a large no is a public rebuke and boards usually change the pay plan after one.6.9M17.6M18.7%
10M more plan shares (Nov '25)Stock to pay staff and executives. Lets the company create new shares to hand out as pay. Every new share makes each existing share a slightly smaller slice of the company, so a no says shareholders think the dilution is too much.36.5M—49.0% in '25
