If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$92 → $103

Show the math

Price to book held where it is today, and book value compounded at the return on equity Axos reported in fiscal 2026, less the small part of earnings it pays out — then divided by a share count that is now drifting up rather than down. This is the one lender among the companies covered here whose management publishes no outlook of any kind: no loan, margin, expense, capital or earnings guide appears in any of the eight decks. So the rate here is 15.7-17.4%, the lowest and highest return on equity Axos itself printed in the four quarters of fiscal 2026, less a payout of 4-13%. There is no dividend. Net debt is not subtracted: a bank's deposits are inside the book value being compounded. Each figure management gave as a range is taken at its middle.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. The multiple. Today's equity value over common stockholders' equity of $3,166m at 2026-06-30, a price to book held unchanged in every year. It is the one figure here that is not management's own, and it cancels out of the later years by construction. Book value a share is $55.81 and tangible book $50.96 on the same page.
  2. The compounding. Return on equity between the 15.69% of the June 2026 quarter and the 17.44% of the December 2025 one — both reported by Axos, neither guided, because it guides nothing — less a payout of 4.5% (fiscal 2026 buybacks against net income) to 13.4% (fiscal 2025). No dividend has ever been paid. The direction of the rate is down three years running.
  3. The arithmetic. (equity value if delivered) ÷ shares. Today: $92 × 56.7M shares is the market value. The share count then grows from the 30 Jun 2026 count at the pace of the half before it, with no new debt; there are no convertibles and no warrants, so 0M shares are added anywhere. The arithmetic is dated 31 December of each year while the fiscal year ends 30 June, and the bars at 12, 24 and 36 months from the price date are read along the line between those points; the share count is flat enough that this moves almost nothing.

The themes that show up deck after deck, and the ones that disappear.

Three divisions
The investment-thesis slide opens all eight decks, word for word unchanged. From Q4 FY2025 a product map follows it.
Peer ranking
Bank-level regulatory ratios against a savings-bank peer group, one quarter in arrears — and the Q2 FY2026 deck re-used the September 2025 data the Q1 deck had already shown.
Highlights
Return on equity and assets, quarter by quarter: 19.12%, then 16.97%, 16.85%, 15.94%, 17.44%, 16.26%, 15.69%. Absent from the Q3 FY2025 deck, and relabelled "Consolidated" in Q4 FY2026.
Margin
Titled "Expanding Net Interest Margin" through Q4 FY2025 and "Resilient Net Interest Margin" from Q1 FY2026, as the margin went 4.84% to 4.54%.
CRE lending
Senior, low-loan-to-value commercial real estate, in all eight. Inside the slide the indirect-note share fell from 77% to 59% and the weighted loan-to-value rose from 40% to 49%.
Deposits
The same diversified-deposit slide in all eight. The insured-or-collateralised share went from about 90% to about 85%, and the trustee share from about 40% to about 30%, without comment.
Clearing
The one claim that only got better: client assets under custody from over $30bn to $47.8bn, and clearing revenue up 12%.
Securities plan
A roadmap slide from Q4 FY2025 putting the replatforming in a "Future (2026+)" column — shown unchanged in Q4 FY2026, with no milestone.
Productivity
Automation, AI and offshoring, the closing slide since Q4 FY2025, with no target and no savings figure. Bank expenses went from 2.09% to 2.24% of assets over the same period.
New
Q3 FY2026: an Equipment Lending and Leasing line of its own, $1,661m then $1,750m, seeded by the $1.0bn Verdant book.
Quiet
The charge-off history, the allowance by loan category, the CRE Specialty table by property type and the rate-sensitivity slide all stopped after Q3 FY2025. The whole Advisor Services section went in FY2026. No deck has ever shown a capital ratio.

Who’s in charge, who’s selling

read from the filings · 1 Oct 2026

Shareholder votes against the board and pay, plus which executives have been selling their own shares.

  1. Tier 1 · live

Two in five vote against the pay, two years running, and a classified board means they cannot act on it

39.2% against in Nov '24 and 41.3% in Nov '25, with 36.9% against the stock-plan amendment. The dissent is aimed precisely at the compensation committee: Grinberg 41.7% withheld in 2024, Court 37.6% and Carter 37.2% in 2025, against 3.4% for the chief executive. The board is in three classes with plurality voting, so a majority cannot be replaced in one year and a withhold vote cannot defeat an unopposed nominee. The pay at issue is $12,054,932 for fiscal 2026, 112 times the median employee's $107,348.

  2. Tier 2 · stable

The chairman chairs the audit committee and sits on all three holding-company committees

Grinberg has been a director since 2004 and chairman since 2017, chairs the audit committee at both the company and the Bank, and is a member of the compensation and nominating committees. Court and Carter make up the rest of both of those, each chairing one and sitting on the other. Only five of eleven directors hold any Axos Financial committee seat; the other six sit on Bank committees or none.

  3. Tier 2 · worsening

The credit slides stopped exactly as the credit book concentrated

Four credit disclosures left the decks after Q3 FY2025 — the charge-off history, the allowance by loan category, the CRE Specialty table by property type with its office and non-accrual columns, and the rate-sensitivity and repricing slide. Over the same period CRE Specialty grew from $5.4bn to $7.3bn at a weighted loan-to-value rising from 40% to 49%, charge-offs ran 0.31% and 0.25% against 0.04-0.17% before, and commercial real estate reached 34% of loans. No deck in the archive shows a capital ratio, while Axos Bank's CET1 fell from 12.74% to 10.93%. Seven measures were dropped in all; persistence is 0.53.

  4. Tier 2 · stable

An add-back that has never been absent, a $77.8m tax-reserve build, and $28m of a $49m award unaccrued

"Acquisition-related costs", which the footnote says include intangible amortisation, were added back in three years of three and rose: $10.8m, $7.4m, $13.7m. Unrecognised tax benefits went from $19.6m to $97.4m in one year, 20% of net income, in the year the effective rate fell from 29.42% to 24.17%. And about $28m of the roughly $49m FINRA award against Axos Clearing is unaccrued, with $21m taken and a petition to vacate filed.

  5. Tier 3 · worsening

Three senior departures in nine months, and a control opinion that excludes the year's acquisition

David Park resigned as president of the commercial bank in December 2025 with no reason given beyond "not due to any disagreement"; Andrew Micheletti, an officer since 2001, retired on 2026-08-01; David Crow, head of Axos Clearing — the subsidiary under arbitration — retired on 2026-09-01, with no successor named in anything read. BDO's fiscal 2026 control opinion excludes Verdant, acquired 2025-09-30, which is the business behind most of the year's non-interest-income growth.

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.

Say on pay (advisory)Executive pay. Shareholders say whether they accept what the top executives were paid. The vote is advisory: the board can ignore it, but a large no is a public rebuke and boards usually change the pay plan after one.16.6M against18.1M against41.3%
Amend the 2014 stock planStock to pay staff and executives. Lets the company create new shares to hand out as pay. Every new share makes each existing share a slightly smaller slice of the company, so a no says shareholders think the dilution is too much.—16.2M against36.9%
Grinberg (chairman, audit chair, on pay)A board seat. Shareholders vote to keep this person on the board, the group that hires, pays and can fire the CEO. A no, or a withheld vote, says they want this director out, often because of the committee they sit on or a decision they signed off.17.8M withheld—41.7% in '24
