If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$1,238 → $1,262

One guided year on: +7% a year. 2027 is the year management has guided, and it is still running 12 months from the price date, so the 12-month bar, $1,262, stays at or near today's price: the model counts no growth until a guided year is over and only the share count moves. Carried one year past it on management's own figures, the same ones the 24- and 36-month bars use, a share works out to $1,428 at the end of 2028, 26 months from the price date. Climbing there at an even pace from today's $1,238 is +7% a year, $1,322 in 12 months, and that is the figure the Companies page lists.

Show the math

company value if delivered, less net debt, divided by the shares. Sandisk guides one quarter at a time, so the base is the run-rate it guides — the Q1 FY27 guide of $10.3-10.8bn at an 83-85% non-GAAP gross margin, annualised — held at today's 5× multiple of that gross profit. The three years after it, fiscal 2028 to 2030, are the long-term model the CFO set out at the August 2026 Investor Day: revenue growth "Mid-to-High Teens" (taken as 15-19% a year) at a non-GAAP gross margin of "~80%". Those are averages over the three years, and they are measured from a fiscal 2027 that management has not guided, so here they compound on the guided quarter's run-rate. Each figure management gave as a range is taken at its middle.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. The base. The Q1 FY27 guide, $10.3-10.8bn at 83-85% non-GAAP gross margin, annualised: $41.2-43.2bn. Fiscal 2026 as a whole was $20.25bn at 71.6%, and fiscal 2025 $7.36bn at 30.3%, so the base is twice the year that produced it.
  2. Today's multiple. About seven times that run-rate's gross profit; on fiscal 2026 as a whole it would be about seventeen. Either way a memory maker's multiple, not a grower's.
  3. The guided years. Fiscal 2028 to 2030 grow 15-19% a year at about 80% gross margin — Sandisk's own Investor Day model, 13 Aug '26. The margin step from 83-85% to 80% takes about 5% off the value in the first year; the growth does the rest.
  4. Shares. 146.4M economic shares at 7 Aug 2026, one class, no warrants and no convertible notes; the proxy gives 145.3M at 4 Sep '26. $4.5bn was bought back in fiscal 2026 and $15.5bn of authority is left. Net debt is negative: -$4.8B.
  5. What is left out. The cash the model would throw off: management's own frame is an adjusted free cash flow margin of about 50% and a pledge to return 100% of excess cash. None of it is credited above beyond what buybacks do to the count.

Shortage
On page one from May '25 to Nov '25, from 'demand to strengthen' at a 22.7% margin to bits 'on allocation beyond calendar 2027'. The bit and price-per-gigabyte figures behind it stopped after Q2 FY26.
Data centre
In all six decks and the lead by Q3 FY26: 12% of bits in Q4 FY25, 38% a year later, $5.15bn of fiscal 2026 revenue.
BiCS8
The headline of the first two decks; by Q4 FY26 the majority of bit production, with BiCS 10 named in the outlook.
Stargate
Four decks, each moving the date one step, from 'several quarters' to shipped in Q4 FY26 — with no revenue figure.
Contracts
Absent before Q3 FY26; by Q4 FY26 a full slide: $93.9bn at floor pricing, $59.8bn RPO, $16.5bn of guarantees, half of fiscal 2027 bits committed.
HBF
On the Q4 FY25 headline slide, then gone for three decks; back as two words in Q4 FY26 with no date or revenue.
Capital
Net cash six months early leads Q1 FY26; full repayment and a $6bn buyback lead Q3 FY26; $4.5bn repurchased leads Q4 FY26.
New
Aug '26: a FY2028-2030 model — revenue growth mid-to-high teens, ~80% gross margin, ~75% operating margin, ~50% free cash flow margin — the first multi-year number since the spin.
Quiet
Bit shipment and price per gigabyte changes, on every summary slide through Q2 FY26, then gone; hyperscaler capex figures replaced by a NAND market size sourced to TechInsights.

Goeckeler sold 67,679 shares on 14-17 Sep '26 at $1,522.59-$1,587.00 under a plan adopted 29 May '26 that allows up to 124,192 by Sep '27. Seven insiders sold $133.8M in Forms 4 filed Oct '25-Oct '26, 92% under plans; no purchase.

The new revenue base rests on undisclosed contracts

Eight NBM customers, $93.9B at floor pricing, $16.5B of guarantees — none named. The floor mechanics were declined twice on calls; adjusted FCF was redefined in Q4 FY26 to exclude NBM payments, restating Q3 from $2,955M to $2,417M.

  3. Tier 2 · stable

Every wafer from one joint venture, half its fixed costs owed regardless

Substantially all supply comes from Flash Ventures with Kioxia, extended to 2034 with $1.2B paid to Kioxia over 2026-2029; Sandisk owes half the fixed costs whatever it orders, which is how gross margin fell to 7.1% in fiscal 2023.

  4. Tier 2 · stable

A board seated at the spin, chaired by the chief executive

All eight directors joined in 2025; three sat on Western Digital's board. Goeckeler chairs; Richard Cassidy, 75, is lead independent director. Seven of eight independent, annual majority elections, three wholly independent committees.

  5. Tier 3 · stable

Pay on revenue and EPS, a related hire, a gain inside GAAP

CEO paid $15.2M in fiscal 2026 (267:1); PSUs half revenue, half non-GAAP EPS, a TSR modifier from fiscal 2027; bonus target raised to 200% from Oct '26. The CFO's child is employed at under $250,000. An $804M Nanya gain lifts GAAP EPS above non-GAAP.

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.

20242025Share 2025
Goeckeler (Chairman and CEO)A board seat. Shareholders vote to keep this person on the board, the group that hires, pays and can fire the CEO. A no, or a withheld vote, says they want this director out, often because of the committee they sit on or a decision they signed off.—6.07M5.6%
Sayiner (Governance chair)A board seat.—0.96M0.9%
Kumar (Audit chair)A board seat.—0.60M0.6%
Cassidy (Lead independent director)A board seat.—0.60M0.6%
Say on payExecutive pay. Shareholders say whether they accept what the top executives were paid. The vote is advisory: the board can ignore it, but a large no is a public rebuke and boards usually change the pay plan after one.—1.79M1.6%
Ratify KPMGThe auditor. Keeping the outside accounting firm that checks the company's books. This almost always passes; a sizeable no means shareholders doubt the audit or think the firm has been in place too long.—0.28M0.2%
