If management hits its targets, one share in 12 months

If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$147 → $170

today's enterprise value over Core Adjusted EBITDA — 6× on the 2026 guide of $37.1-37.5B — held, with EBITDA growing 8-9% a year, the CFO's own organic and reported rates for 2027. EBITDA is before interest, so the $84.1B of net debt is taken off before the value is divided by a share count that keeps falling at the pace of H2 '25. Each figure management gave as a range is taken at its middle.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. The multiple. $147 times 1074.8M shares, plus $84.1B of net debt (excluding tower obligations), over the 2026 Core Adjusted EBITDA guide of $37.1-37.5B, raised in April and held in July. That is 6×, held, so none of the rise is a re-rating.
  2. The growth. 8-9% a year: for 2027 the CFO guided $40-41B, "9% reported growth and 8% organic growth at the midpoint", including $1.7B from acquisitions. 8.5% on the 2026 midpoint is $40.5B, the 2027 midpoint. 2028 and 2029 are not guided; the same rate is carried into them.
  3. The debt. $86.9B of debt (including financing leases) less $2.8B of cash at 30 Jun '26, 2.3x LTM Core Adjusted EBITDA, held flat. Tower obligations and operating leases are left out, as the company's own net debt leaves them out. Management's guides assume leverage of 2.5x, so more borrowing as EBITDA grows, which this figure does not charge.
  4. The shares. From 1,127.5M to 1,106.9M in H2 '25, about -3.6% a year; 1074.8M at 30 Jun 2026. H1 '26 fell faster (-2.9% in the half) on a Q1 buyback the CFO called double the run rate, so it is not used. Deutsche Telekom holds the majority and has not sold since Oct '25.

Accounts, ARPA
The first slide after the highlights throughout; from Q1 '26 the only customer slide, and the guided metric.
Phone churn
Up year on year in every 2025 book: 0.86% in 2024, 0.93% in 2025, 1.02% in 4Q25. Gone from Q1 '26.
Broadband
Renamed 5G broadband in Q2 '25, fiber added in Q3 '25 (9.4M at end '25); no customer count from Q1 '26.
Deals
Each 2025 range excluded a deal until it closed; acquired customers kept out of net adds, acquired EBITDA kept in.
Pricing
Price rises are the first ARPA driver; Q1 and Q2 '25 also name them as a cause of higher disconnections.
Promotions
The standing offset to ARPA from Q4 '24 on.
Returns
In every book: $45.4B returned by end '25, $54.6B by Jun '26, the 2026 authorisation raised to $18.2B.
Restructuring
From Q4 '25: $390M of 2025 severance and a network restructuring, both Special Items outside Core Adjusted EBITDA.
New
Q4 '25: postpaid account churn, an account-adds guide, 2027 EBITDA of $40-41B on the call. Q1 '26: an account redefined, 18K removed.
Quiet
Q1 '26: phone net adds, phone churn, phone ARPU, prepaid and broadband customers. The ~2.5x leverage target last printed Q2 '25.

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.

Say on pay (triennial)Executive pay. Shareholders say whether they accept what the top executives were paid. The vote is advisory: the board can ignore it, but a large no is a public rebuke and boards usually change the pay plan after one.—263.5M26.7%
