What they keep talking about · 11
The themes that show up deck after deck, and the ones that disappear.
- The beat
- The first line of all eight decks; "beat and raise" from Q1 '26. Q3 '26 leads with a record: $1.2B of sales, +60% on the year.
- A&D backlog
- A headline bullet in the 2024 decks at $1.56B, off the headline slide from Q2 '25 — the quarter it fell to $1.46B — and back on it from Q2 '26, at $1.7B and then $2.0B.
- Data centre
- One bullet in Q4 '24, then a line of its own in 2026, put ahead of aerospace and defence from Q2 '26. Q3 '26 came in at 41% of sales against the 49% forecast.
- Book-to-bill
- On the headline slide at 1.09 and 1.10, dropped in Q2 '25 — the quarter it was 0.89 — and back from Q2 '26 at 1.49, then 2.13 in Q3 '26.
- Cash funds capex
- "Strong Operating Cash Flow Supports Internal Capital Investment" from the Q3 '25 redesign; Q3 '26 puts a $400M N+M expansion on the headline slide, to be paid from operating cash flow. Nine-month free cash flow was $36M.
- End markets
- "Four of five end markets" growing, then "all", then "nearly all", then "all" again for Q4 '26. Automotive, the one that shrank, is 7% of sales.
- Golden Dome
- Named programme bookings from Q1 '26; a first award and a "$600M+ pipeline" with no period in Q2 '26; another booking in Q3 '26.
- Factories
- Penang, Syracuse and N+M phase 1 first appear in Q2 '26. In Q3 '26 Penang profitability is "on track", Syracuse has started operations and N+M is shipping in volume.
- Acquisitions
- New on the headline slide in Q3 '26: STG and Epiq closed, ILFA near closing, Ophir Optics ($650M) and two UK board shops announced.
- New
- Q3 '26: the first guide for the next year (2027 sales $6.5-6.75B), the acquisitions line and the $400M capacity plan.
- Quiet
- Net debt to EBITDA, a sentence in the 2026 decks at 1.0 and 0.9, is not in the Q3 '26 deck, the quarter the release puts it at 2.8 pro forma. Capacity utilisation went in Q2 '25 and the line-item guidance page in Q3 '25.

Share of questions by topic, call by call. A topic that suddenly dominates is usually the problem. The last row is how much of the answering the CEO did, rather than the CFO or others.

Tier 2 · live
About $1.6B raised in one week to buy earnings that are not on file
$500M of unsecured 6.750% notes on 24 Sep '26, then a $300M incremental term loan A and a seven-year $800M term loan B funded on 30 Sep, the day Epiq Solutions closed for about $1.1B in cash. Net debt goes from $465.6M on the last filed balance sheet to roughly $1.6B. Item 9.01 of the closing 8-K carries exhibits only — no Rule 3-05 financials, no Article 11 pro formas — so the only public word on what was bought is "a profitable, well-established business" in the release. Free cash flow was already negative.
Tier 2 · stable
The long-term shares vest on revenue and adjusted EBITDA, which the company buys with debt
Performance units vest 40% on revenue, 40% on adjusted EBITDA and 20% on three-year relative shareholder return, with neither financial measure stated as adjusted for acquisitions. The Epiq closing release says the contributions are "immediately accretive to adjusted EBITDA, moderately dilutive to non-GAAP diluted EPS in 2027, and accretive to non-GAAP diluted EPS in 2028" — clearing the metric that pays a year or two before the one that does not.
Tier 2 · worsening
Fifteen insiders sold $35.6M in a year, none of it plan-flagged
260 open-market sales over the year to June 2026 and not one carrying the Rule 10b5-1 flag — mostly a block of 25 to 29 small sales each by eight officers on 23-25 June 2026, around $205-218, weeks before the stock fell 38%. The departing former chief executive sold $10.0M and the A&D president $7.5M. The only purchases in the window were $413,200 by one director.
Tier 2 · stable
A classified board, an age rule it cannot waive, and three new seats since January
Nine directors in three classes on staggered terms, so only a third stands each year. A mandatory retirement age of 75 the board may not defer removed Kenton Alder in 2025 and John Mayer in 2026; Philip Franklin is 74. Korte and McCarthy arrived in May, and the chief executive in September 2025. Julie England, who chairs the nominating committee, drew 14.0% of votes against — against 1.4% for the chief executive.
Tier 3 · worsening
The non-GAAP definition changed mid-series, and three measures were dropped
From Q1 '25 non-GAAP EPS excludes unrealised currency moves, restating Q4 '24 from $0.60 to $0.49 — moving a quarter that had beaten its range back inside it. 90-day backlog was redefined and the segments recast. Capacity utilisation and advanced-technology share went in Q2 '25 "no longer helpful", top-five customer share and the line-item guidance page in Q3 '25.
Where shareholders voted no
At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.
| 2025 | 2026 | Share 2026 | |
|---|---|---|---|
| England (nominating chair, '26)A board seat. Shareholders vote to keep this person on the board, the group that hires, pays and can fire the CEO. A no, or a withheld vote, says they want this director out, often because of the committee they sit on or a decision they signed off. | — | 12.1M | 14.0% |
| Franklin (Class II, '26)A board seat. | — | 2.7M | 3.1% |
| Roks (CEO, Class II, '26)A board seat. | — | 1.2M | 1.4% |
| Say on payExecutive pay. Shareholders say whether they accept what the top executives were paid. The vote is advisory: the board can ignore it, but a large no is a public rebuke and boards usually change the pay plan after one. | 1.6M | 0.8M | 0.9% |
| Ratify KPMGThe auditor. Keeping the outside accounting firm that checks the company's books. This almost always passes; a sizeable no means shareholders doubt the audit or think the firm has been in place too long. | 1.2M | 0.6M | 0.7% |
