If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$111 → $237

Show the math

today's enterprise value over the core gross profit management guides for 2026 — about 56× — held on each later year's gross profit. 2027: revenue triples, as the CFO says it will, at the 2026 core gross margin. 2028 and 2029: the revenue the Q2 2026 10-Q schedules out of the $25.4bn of contracted backlog (about 22% in the two years to June 2028, 43% in the two years after), at a margin halfway between the 2026 guide and management's 60% target. Then net cash is added back and the total divided by a share count that counts the OpenAI warrant in full and grows at the last two months' pace. Each figure management gave as a range is taken at its middle.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. The measure. Core gross profit for 2026 of about $361-383M: the raised guide of $880-890M of core revenue times the 41-43% core gross margin guided in the same Q2 2026 release. Core measures add back the warrants given to customers, stock pay and pass-through revenue; on GAAP the Q2 gross margin was 14%. Every figure management guides is core, so this is the only measure a multiple can be held on.
  2. 2027. "plan to more than triple revenue in 2027" — the CFO, in the Q2 release. Read as exactly triple: $2,640-2,670M, at 2026's core gross margin, because no 2027 margin is guided ("will also continue to improve in 2027" carries no number). The prospectus warned that gross margin would be "significantly lower" as cloud and OpenAI capacity grow, so holding it is not cautious.
  3. 2028 and 2029. The Q2 2026 10-Q schedules the $25.4bn of remaining performance obligations: about 22% in the 24 months to June 2028 ($2.8bn a year) and 43% in months 25 to 48 ($5.5bn a year). Calendar 2028 spans the two windows, so it takes a range from one rate to the other and its middle, $4.1bn; calendar 2029 sits inside the second window, $5.5bn. Contracted revenue only: nothing signed after June 2026, no AWS business (the CEO says the RPO holds none), and the pass-through costs beyond the first 250 MW of OpenAI capacity, which the filing itself leaves out. The filing says the timing may vary.
  4. The margin after 2027. "trend towards our target of 60% plus" — the CFO on the Q2 call, with no date. The range for 2028 and 2029 runs from the 2026 guide of 41% (nothing improves) to the 60% target (it is reached) and the middle, 50.5%, is used. The CEO's "additional multiples in future years" is not a number and is not used; nor is the 35% of the backlog due after June 2030.
  5. Shares. 257.3M: the 237.6M of all three classes on the Q2 10-Q cover plus the 19.7M Class N shares still to vest under OpenAI's $0.00001 warrant, which vests as the 750 MW is deployed — the deployment the schedule rests on. The Amazon warrant (2.7M at $100) and the 42.65M-share plan reserve are left out.
  6. Arithmetic. (company value + net cash) ÷ shares. Net cash is -$7.0B as debt: $7,921.5M of cash and investments against $918.2M owed to OpenAI under its working capital loan, at 30 Jun '26. The 12-, 24- and 36-month figures are read straight along the line between the year ends.

The themes that show up deck after deck, and the ones that disappear.

Speed
"The world's fastest AI infrastructure" opens the prospectus and both releases; the CEO's quote in each is about speed.
Wafer-scale
Three gatefold comparisons with NVIDIA's B200 in the prospectus; by Q2 the argument is supply — no HBM, no CoWoS, no 3nm.
OpenAI
The 750 MW deal is the first bullet of Q1 and a launch-partner line in Q2; it carries most of the $25.4B backlog.
AWS
A binding term sheet in the prospectus, a partnership headline in Q1, Bedrock in Q1 '27 by Q2 — size never given.
Cloud
Q2's headline is the cloud business, "nearly quadruples"; it was 30% of 2025 revenue and 70% of Q2's.
Growth
Q1 leads on 92% core growth; Q2 on core revenue doubling — while GAAP revenue fell 7% on the quarter.
New
Jun '26: the core measures, and every guide on them. Aug '26: "more than triple revenue in 2027".
Quiet
G42 and MBZUAI — 86% of 2025 revenue — appear in neither release; they were only in the prospectus's MD&A.

Who’s in charge, who’s selling

read from the filings · 7 Oct 2026

Shareholder votes against the board and pay, plus which executives have been selling their own shares.

  1. Tier 1 · live

Class B holds about 99.2% of the vote, with a founder-tenure sunset and a staggered board

20 votes a Class B share; all of it converts only six months after no founder is an employee or director. Three classes of directors on three-year terms, no cumulative voting, the board fills its own vacancies, and the chief executive is chairman. Three directors are partners of the funds that backed it.

  2. Tier 1 · live

Material weaknesses, a new auditor, and guidance on measures that add back customer warrants

Weaknesses for 2025 and 2024 in revenue recognition, inventory costing, data-centre assets and equity administration. BDO dismissed and KPMG engaged in November 2025. All guidance is on core measures introduced with the first guide; the bridge went from two add-backs to five, and in Q2 GAAP revenue fell 7% while core rose.

  3. Tier 2 · live

A few customers who are also related parties, a lender and warrant holders

G42 and MBZUAI, related to each other, were 86% of 2025 revenue. OpenAI is the anchor customer, a $918M lender and the holder of a penny warrant for 33.4M shares; customer-warrant assets reached $1.13B. Concentration was declined on both calls.

  4. Tier 2 · live

$408M of insider sales from late June, no purchases

The CTO $193.8M, the COO $103.6M, the chief executive $64.3M, two directors $37.1M, the CFO $6.6M; the 10b5-1 box is ticked on $128M of it.

  5. Tier 2 · stable

The chief executive's 2007 plea over accounting controls

As a Riverstone Networks vice president, Feldman settled SEC claims in 2008 without admitting or denying ($289,507 plus interest, a permanent injunction) and pled guilty in 2007 to circumventing an issuer's accounting controls (three years' probation, $5,000). Disclosed in the prospectus.

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.
