If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$61 → $61

company value if delivered, less net debt, divided by the shares. Value holds today's multiple of contracted rent — 9× the $1.75bn of average annual net operating income management expects from its three signed leases. That multiple already carries all three, because all three are signed and none has been delivered, so the value only moves when capacity beyond those 949 IT megawatts is energised, and management has dated none of it. The bars borrow the build at $9-11M a megawatt, as the two project financings did, and add no stock. Each figure management gave as a range is taken at its middle.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. Rent. Three 15-year triple-net leases over 949 megawatts of IT capacity: River Bend 245 MW ($454M a year), Beacon Point Phase 1 352 MW ($655M) and Phase 2 352 MW ($655M). $26.6bn of base-term value and "$1.75B+" of average annual NOI, $1.86M per IT megawatt (Q2 '26 deck). Not a dollar of it had been received at the date of that deck.
  2. Delivery. Phase 1 is targeted for Q3 2027 and Phase 2 for Q2 2028; no deck read gives River Bend a delivery date. Rent runs from delivery under a triple-net lease, so capacity earns in the year it arrives.
  3. What is left. Nothing beyond those three leases is dated, so the model's 2027 is today's value and the growth in 2028-29 is the development pipeline converting: between nothing and about 292 IT megawatts a year, the ~1,330 MW in the development stage at 30 June 2026 less Beacon Point Phase 2, at the 1.42 PUE the deck gives. The proxy describes an Anthropic and Fluidstack programme of "at least 245 MW and up to 2,295 MW" with no date on it; none of that upside is in these bars.
  4. Funding. $7.5bn of fully amortising non-recourse notes at 6.129-6.192% already fund River Bend and Beacon Point Phase 1, with "no incremental equity contribution required". New capacity is charged at the $9-11M per IT megawatt the deck gives and borrowed on the same terms; interest is not deducted.
  5. Held. The 12-month bar is held at today's $61: to October 2027 nothing management has put a number on grows the business faster than its share count, so the figure is held where the arithmetic last had it, and the arithmetic alone gives $61. From 2028 the pipeline converting lifts the figure to $67 at 24 months and $74 at 36.
  6. Arithmetic. (company value − net debt) ÷ shares. Net debt today is $7.5B against 123.2M shares. Left out of it: $6.79bn of restricted cash, which is the undrawn note money committed to these buildings, and $1.04bn of bitcoin, part of which belongs to American Bitcoin's 46% minority — netting the bitcoin off would lift every figure here by about $8 a share. Today's multiple is held, which for a landlord whose rent has not started is the conservative end: delivered rent normally trades above contracted rent.

The themes that show up deck after deck, and the ones that disappear.

Results
In all eight, and it led two of them. From Q3 '25 it sits behind the business update, and gross margin joins it in Q4 '25.
Power first
The Q4 '24 "our conviction" opener, back in Q3 '25 as "validation of our power-first strategy", and by Q2 '26 the opening slide: a track record from Bravo in 2022 to Beacon Point in 2026.
Pipeline
In every deck, and shrinking: 5.0+ GW, then ~12.3, 10.8, 8.65, 8.5, ~8.4, ~8.7 GW. Two stages were added along the way and the exclusivity test was loosened in Q2 '26.
Mining
Last shown in Q1 '25. The hashrate and fleet-efficiency slide left the deck when mining moved into American Bitcoin.
ABTC
Most of the Q1 '25 deck, then the listing in Q2 '25, then the accounting treatment in Q3 '25. By Q1 '26 it is a line in the segment commentary and its revenue is eliminated.
Campuses
A power map in Q4 '24, a rendering leading Q4 '25 and Q1 '26, and in Q2 '26 two 352 MW leases with $19.6bn of base-term value. The decks never name the tenant.
Lease value
New in Q1 '26: $16.8bn, then $26.6bn. Each figure is paired with an upside case that assumes every renewal option is exercised — $42.8bn, then $67.9bn.
Capital
Bitcoin-backed credit and at-market programmes in 2024-25, ring-fenced project notes in 2026, and "no recourse debt at the parent level" by Q2 '26.
Bitcoin
A reserve to show off until Q3 '25 (13,696 BTC, $1.6bn). Q1 '26 gives only cash and bitcoin together; Q2 '26 gives no reserve figure at all.
New
Q2 '26: $1.86M of NOI per IT megawatt, $9-11M of construction cost per megawatt, 1.42 PUE and dated deliveries — the first time the economics of a lease are in the deck.
Quiet
The bitcoin count, the energy cost per MWh and the hashrate all stopped, and adjusted EBITDA was redefined in the quarter that made the prior year's headline figure 98% smaller.

Who’s in charge, who’s selling

read from the filings · 1 Oct 2026

Shareholder votes against the board and pay, plus which executives have been selling their own shares.

  1. Tier 1 · worsening

$361m of pay to two executives, and 45% of the votes against it

The chief executive's 2025 total compensation was $239,909,042 against $10,280,140 in 2024, and the chief strategy officer's $121,221,587 — 2,423 times the median employee. Most of it is the one-time Transformation Awards of 2 November 2025: four-year performance units, half on market-capitalisation growth and half on the appreciation of the stake in American Bitcoin, plus time-based units for the chief executive alone. Say-on-pay drew 45.2% against in June 2026, up from 1.2%.

  2. Tier 2 · stable

Half the pay keys off a subsidiary with no pay committee that the same two men run

American Bitcoin is 53.6% owned, carries 94.9% of first-half revenue, runs its own at-market programme and pushes 46.37% of its losses to the minority. The proxy states it "does not maintain a compensation committee", and Hut 8's chief executive is its executive chairman while Hut 8's chief strategy officer is its chief executive. Half of the Transformation Awards vests on that stake's appreciation. The other half pays on market capitalisation, which also rises when a company sells stock.

  3. Tier 2 · stable

$7.5bn of project notes against one start-up tenant, in buildings that do not exist yet

Debt was $7.74bn at 30 June 2026 against $234m of unrestricted cash and $6.79bn of restricted. River Bend's whole 245 MW is let to Fluidstack, whose rent services $3.25bn of notes, backstopped by Google; the chief executive named Anthropic as the end user. No leased capacity had been delivered, the first delivery is targeted for Q3 2027, and quarterly adjusted EBITDA is $10.4m.

  4. Tier 2 · worsening

The number a deck led with was later restated by 98%

Adjusted EBITDA was redefined in Q2 2026 to exclude gains and losses on digital assets: Q2 2025, the figure that quarter's deck led with, falls from $221.2m to $4.2m. The stock pay added back rose from $3.8m to $51.2m over the same eight quarters. Three measures were dropped — energy cost per MWh, self-mining hashrate and the bitcoin reserve count — and the "exclusivity" pipeline stage was loosened to site control plus a power study.

  5. Tier 3 · stable

Auditor changed in 2025, with no disagreement, and two directors sold outright

KPMG replaced Raymond Chabot Grant Thornton on 25 March 2025 with no disagreement and no reportable event, and was ratified with 1.8% against. Over the year to June 2026, insiders sold $13.1m across 16 sales with no purchases and 11% under plans; two of the five sellers are independent directors selling outright, one of them the chair of the governance committee.

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.

20252026Share 2026
Say on pay (advisory)Executive pay. Shareholders say whether they accept what the top executives were paid. The vote is advisory: the board can ignore it, but a large no is a public rebuke and boards usually change the pay plan after one.0.6M32.0M45.2%
Amend the incentive planStock to pay staff and executives. Lets the company create new shares to hand out as pay. Every new share makes each existing share a slightly smaller slice of the company, so a no says shareholders think the dilution is too much.2.9M10.7M15.2%
Shattuck (pay committee chair)A board seat. Shareholders vote to keep this person on the board, the group that hires, pays and can fire the CEO. A no, or a withheld vote, says they want this director out, often because of the committee they sit on or a decision they signed off.1.4M7.4M10.4%
