If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$144 → $191

today's multiple of 16× on the guided quarter's adjusted EBITDA at an annual rate, held flat, with revenue compounding at the 47-49% the Q3 '26 guide implies and the guided 45% margin held. Company value plus net cash, divided by a share count that grows at its past pace. Each figure management gave as a range is taken at its middle.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. The multiple. Enterprise value today — $144 times 192.4M Class A and B shares, less $2.8B of cash and securities, with no debt — over the Q3 '26 adjusted EBITDA guide at an annual rate: 16×. Held, so none of the rise is a re-rating.
  2. The growth. The Q3 '26 revenue guide of $860-870M against $585M a year earlier is 47-49% growth, the only forward rate the letters give. Reddit guides one quarter at a time, so 2027-29 are not guided at all; the rate is carried into them unchanged.
  3. The margin. The guided quarter's adjusted EBITDA over its revenue, 44.8-45.4%, held. The letters report incremental margins near 58%, which would lift it, but management states no target, so none is assumed. Adjusted EBITDA adds back stock pay, about 13% of revenue in Q2 '26.
  4. The shares. No stock is sold. The count grows at the pace of the half to 29 Jul 2026, stock pay less the $1B buyback that began in Q2 '26. About 14.6M shares underlying unvested awards are left out, as for every page.

Shareholder votes against the board and pay, plus which executives have been selling their own shares.

  1. Tier 2 · stable

The CEO votes about 74% of the stock; Advance can veto a sale or a CEO change

Huffman holds an irrevocable proxy over Advance's 42.2M Class B shares (ten votes each) on top of his own 3.1M. Advance names two of eight directors and must consent to a sale, a new share class or hiring or firing the CEO. Outside his block, about 52% of votes were withheld from Advance's Newhouse in 2026.

  2. Tier 2 · stable

Insiders sold $258.9M in a year, nearly all on plans that run into 2027

Oct '25-Oct '26: COO Wong $116.7M and CEO Huffman $74.9M, every month; new plans for up to 780K and 600K more shares to Aug and Sep '27. The departing legal chief sold $26.8M. One director bought $8.9M.

  3. Tier 3 · live

A securities class action over Google's AI Overviews, still at the complaint stage

Filed Jun '25 in N.D. Cal., with derivative suits behind it; no responses filed by 30 Jun '26 and no loss estimate. A £14.5M UK data-protection fine (Feb '26) is under appeal.

  4. Tier 3 · stable

An Advance designee is vice chair and sits on the committee that approves Advance's deals

Sauerberg sits on Audit, which approves related-party deals: two subleases from Advance, $3.6M of rent in 2025. He sold $0.8M in Aug '26 with no plan marked.

  5. Tier 3 · improving

A $193M CEO grant in 2023, modest pay since; stock pay falling as a share of revenue

Huffman's pay was $193.2M in 2023, then $2.6M and $3.1M. Stock pay was 11.5% of revenue in H1 '26 against 19.6% a year earlier; evergreen added 11.5M shares to the plans in Feb '26.

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.

20252026Share 2026
Newhouse (Advance designee)A board seat. Shareholders vote to keep this person on the board, the group that hires, pays and can fire the CEO. A no, or a withheld vote, says they want this director out, often because of the committee they sit on or a decision they signed off.60.9M55.3M9.9%
