If management hits its targets, one share in 12 months

If management hits its targets

from IR material and Earnings Calls

What one share would be worth today and in 12, 24 and 36 months if the company does exactly what its management has promised, next to what a share costs now. Worked out from the targets management gave in its own results decks and earnings calls.

$25 → $25

Show the math

today's multiple of 16× adjusted EBITDA, held, on the fiscal 2026 outlook of more than $650 million. No growth after fiscal 2026: management has given no number for later years. Company value plus cash, less debt, divided by a share count that grows with stock pay. Each figure management gave as a range is taken at its middle. From Oct 2027 nothing management has put a number on grows the business faster than its share count, so the figure is held where the arithmetic last had it; the arithmetic alone gives $25 at 36 months.

Show the math, step by step

How we got there: company value if the plan is delivered, minus debt, divided by all the shares, including the new ones they’d have to sell to pay for it.

  1. The multiple. Enterprise value today ($25 times 504.5M shares, plus about $2.8 billion of convertible notes left after the Sep '26 exchange, less cash and marketable securities) over the $650 million EBITDA floor: 16×. Held, so none of any rise would be a re-rating.
  2. The earnings. Adjusted EBITDA is the store business alone: it adds back the interest earned on the cash and leaves out the gains and losses on bitcoin and eBay. The first half of fiscal 2026 earned $339.7 million of it, so the second half needs more than $310.3 million.
  3. The later years. Held at the fiscal 2026 floor. GameStop holds no calls and publishes no deck, and no release puts a number on sales, margins or EBITDA past January 2027.
  4. The shares. The count grows as it did in the half to Jun '26, about 0.3% a year from stock pay. Not counted: about 95.6 million shares the remaining notes convert into, at about $29-30 a share, just above today's price, and the 59.1 million warrants at $32 that expire on 30 Oct '26. The Sep '26 exchange already added about 55.5 million shares to 3 Sep 2026.

  1. Tier 2 · worsening

Chairman, CEO, largest holder, and he directs the cash

An investment committee of Cohen and two independent directors put the cash into 43.4M eBay shares, 9.8% of eBay, worth about $4.9B on 1 Aug '26, after a $125-a-share offer eBay rejected in May '26.

  2. Tier 2 · new

All of the CEO's common shares in a margin account

38.3M shares at Schwab as of 20 May '26; the policy allows loans up to 50% of value and asks for no top-up if the price falls. His later buying may be funded in part by margin loans.

  3. Tier 2 · worsening

Authorised shares to 2.5B; the count up 12.5% in six months

About $1.4B of notes swapped for about 55.5M shares and $358.4M of cash on 3 Sep '26, terms changed mid-way, a non-cash charge to come. About 95.6M more shares sit behind the remaining notes.

  4. Tier 3 · improving

171.5M performance options for the CEO, withdrawn at his request

Granted Jan '26, sized to give him 20% of value created at a $100B market value; withdrawn 23 Jun '26 before the vote. Say-on-pay drew 2.8% against.

  5. Tier 3 · stable

A director's company sells to GameStop; a Delaware suit on the share vote

Where shareholders voted no

At each annual meeting shareholders vote on who sits on the board, what the executives are paid and whether the company may create more shares. These are the votes that drew the most "no"s at the last two meetings: the shares voted against (or withheld) each year, then what share of all votes cast that was. Under each one, what the vote was about and what a no means.

20252026Share 2026
Cohen (chair, CEO)A board seat. Shareholders vote to keep this person on the board, the group that hires, pays and can fire the CEO. A no, or a withheld vote, says they want this director out, often because of the committee they sit on or a decision they signed off.4.0M5.0M2.0%
Attal (lead independent)A board seat.25.4M30.7M12.3%
Turner (not independent)A board seat.11.2M12.9M5.2%
Say-on-payExecutive pay. Shareholders say whether they accept what the top executives were paid. The vote is advisory: the board can ignore it, but a large no is a public rebuke and boards usually change the pay plan after one.6.0M6.9M2.8%
Authorised shares to 2.5BPermission to create more shares. The company may then sell new shares later, for deals or to raise cash. New shares dilute the existing ones, so each shareholder owns a smaller share of the company. A no says shareholders want that door kept narrower.—104.6M31.1%
